Upwards Labs Holdings Inc. (“we”, “us”, “our”) operates the not-for-profit Glow First community for the benefit of our users. In order to ensure fairness, and that we are effectively letting couples who do not know they are infertile or predisposed to fertility share risk, we must insist on certain terms and conditions for those joining the fund. We hope these terms and conditions will be fair to each member and ensure that our fund is as attractive as possible to our community of couples trying to conceive. By joining the Glow First community, you agree to certain terms and conditions below:

THE FOLLOWING TWO PROVISIONS APPLY TO ONLY THOSE USERS WHO ARE NOT PARTICIPATING IN GLOW FIRST AS PART OF AN EMPLOYER SPONSORED GLOW FOR ENTERPRISE PROGRAM.

We have the right to have full transparency on your medical records.

• In order to ensure that you’ve answered our background questions truthfully, and for any other lawful gathering of information, you agree to allow us to access your medical records (whether they be electronic or otherwise).
• Such access may include accessing your records with an infertility clinic to ensure that you’ve received the treatment that Glow First will grant you money to pay for.

You agree that all of the following are true about your medical history.

• Neither you nor your partner have ever been diagnosed with any condition that you have been told will affect your fertility.
• Neither you nor your partner have ever been diagnosed “infertile” by any clinical professional or fertility expert.
• Neither you nor your partner have ever received treatment for infertility.

THE REMAINING PROVISIONS APPLY TO ALL GLOW FIRST PARTICIPANTS.

You agree to truthfully answer any background questions.

• These may include demographic, health, financial, credit or other information.
• Any deception or untruthfulness in these answers may result in immediate expulsion from Glow First with no refunds.

You will contribute $50/month for the next 10 months and be active.

• Each month’s contribution is automatically charged to your credit card. Payment must be made on time each month.
• Payment will stop after 10 months automatically.
• When you inform us of your pregnancy, your contributions will stop and you will no longer have a financial interest in Glow First.
• We may, from time to time, run promotions offering you matching funds that result in a smaller monthly payment automatically being charged to your credit card.
• YOU MUST BE AN ACTIVE USER OF THE APP TO BE A VALID MEMBER. IF YOU DO NOT MAINTAIN THE MINIMUM ACTIVE STATUS, WE RESERVE THE RIGHT TO REMOVE YOU FROM GLOW FIRST AND NOT REFUND YOUR MONEY.

You can stay in the fund even after you have become pregnant.

• You may remain in the fund until you feel that the pregnancy is viable. Your financial obligation to the fund will continue until you inform us of your pregnancy. Your contributions will go towards other hopeful mothers if you do not need infertility treatments at the end of 10 months.

Your grant after 10 months will go towards infertility treatments.

• If you’re not pregnant at the end of 10 months, you’ll receive a grant to help you pay for initial infertility treatments.
• Your grant will never be less than what you contributed.
• Your grant will be available either 11 or 12 months after the fund began as we take some time to close the fund.

You agree to the following in order to obtain your grant.

• Grants can only be used to reimburse any Society for Assisted Reproductive Technologies (SART) recognized infertility clinic initial screenings, tests and the like and will be paid directly the infertility clinic.
• Your grant will never be paid in cash.
• You must submit proof of treatment and agree to allow us to confirm your treatment in order to receive your grant payment.
• You will be responsible to the clinic for any additional costs in excess of your grant from the fund.
• Glow First will not reimburse clinics for the cost of any services that are are already covered by your insurance.
• You will have 12 months to use your grant funds. Any unused allocation of the Glow First grant will be returned to the fund and may be included in the fund grants to other hopeful mothers.

Cancellation can occur at any time.

• Your participation can be cancelled at our sole discretion at any time.
• Your contributions may or may not be refunded at our sole discretion for any reason, including, but not limited to, any of the following: inactivity, malfeasance, non-payment, fraud, misleading representations, or any other activity which violates the spirit of the risk-pooling fund.
• We will never keep your contributions, but they may be included in the fund grants to other hopeful mothers.
